The theory, as bonkers as it is, is that corporations should minimize taxes as a fiduciary responsibility to the shareholders. just like they are supposed to maximize profit.

The share holders are then, in theory, are to pay taxes on the gains and dividends, and the progressive nature of the tax code helps sort it out, without infinite taxation loops (a thing taxed multiple times)

The problem is that the whole thing is rubbish. People should not participate in outright tax dodging, but they say "every one does it"

Everyone is not running to be the president of the US. The executive who will throw thousands of people in jail during his term for tax "crimes"

Romney said that the top rate for middle income people should be somewhere between 20 and 25%, knowing full well he is an elite paying 0%.
