Anonymous Coward User ID: 25725935 United States 10/17/2012 12:07 AM Report Abusive Post Report Copyright Violation | In a nutshell.... 1) Buy a controlling interest in shares of the company, so you can get YOUR people on the board of directors. 2) Get your Corporate Raider buddies to "make them an offer they can't refuse" and purchase the remaining "public shares" of the company. 3) Now you and your buddies own ALL of the public shares of the company, and YOU control the company and allits assets. 4) Now file the company as "Private" as all the public shares have been transferred from public ownership to your buddies and YOU. 5) A private company does not have to make financial disclosure statements to the PUBLIC so you can make up any story you want. 6) Fire all the company managers and put YOUR friends into lucrative positions with high paying salaries. 7) Falsify your net worth and equity, mortgage all the company assets, load the company with debt. 8) Give yourself and your friends large bonuses, strip all the cash assets from the company, falsify the equity. (Cash Assets being pension plans and other cash reserves) 9) Now that you have "turned this company around" you find some suckers to buy it. 0) If you can't find any "suckers", "fools", "targets", "victims" to buy it, you file bankruptcy. Bain did to Dade International what it did to nearly 80 companies when Mitt Romney was in charge -- it loaded the company up with debt for the purpose of declaring magical, gargantuan returns for itself and its partners. By August, 2002 the company had $1.5 billion in debt when it filed for bankruptcy, causing the loss of 1,700 American jobs. Mitt Romney wasn't among that number -- he had "moved on", and in classic Obama terms, he was "looking forward and not backward". Bain Capital had already pocketed $216 million in net returns out of its $27 million investment in Dade International. How the SCAM works... In 1994 Bain Capital bought Dade International, a medical products company, for $85 million in equity, of which Bain put up $27 million and its partner Goldman Sachs (uh oh! -- red flag already) put up $58 million. The rest of the purchase price of the company, to buy out all the public shares, was financed with debt, which constituted 81% of the total financing arranged by Bain. In the next four years, Bain, now in complete control of the company, tripled Dade International's debt from $300 million to $902 million. Some of this debt was used to retire previous expensive debt and to expand the company by purchasing a German competitor, but $242 million was used to buy out one-half of Bain Capital's equity interest in Dade International. In other words, in just four years, Bain claimed that $85 million in equity had magically turned into $484 million in equity. The company at this stage was private, so the capital could be whatever Bain claimed it to be, within reasonable accounting parameters. It just seems very unlikely that the equity in the company grew six-fold in such a short period of time, when net income wasn't anywhere near this amount. What seems much more likely was that Bain did to Dade International what it did to nearly 80 companies when Mitt Romney was in charge -- it loaded the company up with debt for the purpose of declaring magical, gargantuan returns for itself and its partners. "An oilman drills a well that costs $100,000. He finds a reservoir containing $10,000,000 worth of oil. The well produces $1 million worth of oil per year for ten years. In the very first year, thanks to the depletion allowance, the oilman could deduct 27.5 per cent, or $275,000, of that $1 million in income from his taxable income. Thus, in just one year, he's deducted nearly three times his initial investment. But the depletion allowance continues to pay off. For each of the next nine years, he gets to continue taking the $275,000 depletion deduction. By the end of the tenth year, the oilman has deducted $2.75 million from his taxable income, even though his initial investment was only $100,000." Since the depletion allowance is based on the gross revenue rather than the net revenue, it can shelter between 20% and 30% of the annual cash flow to investors until the well is no longer producing. Also, the depletion allowance is not limited to your investment (basis) like in real estate, so the total write offs can ultimately exceed your investment. I thought we were past this. A few control groups say Romney won. A few media polls say Obama won and others say Romney won. And polls aren't accurate (not even close considering how many people lie). |
