On February 1st, Microsoft made headlines after publicly offering to purchase Yahoo for $44.6 Billion ($31/share). Microsoft's interest in Yahoo was primarily focused around their advertising business in an attempt to gain talent and technology in that sector to further compete with Google. On February 9th, Yahoo officially declined the offer due to claims the bid "massively" undervalued Yahoo.

Negotiations continued, opening the possibility for a hostile takeover from Microsoft. In the end, however, it appears Microsoft is walking away from the negotiations and will not pursue a hostile takeover.

In a letter from Microsoft's Steve Ballmer to Yahoo's Jerry Yang, Ballmer detailed his reasons. In the end, Yahoo was insisting on a $53 billion price ($37/share), while Microsoft's offer topped out at $47.5 billion ($33/share).
"Despite our best efforts, including raising our bid by roughly $5 billion, Yahoo! has not moved toward accepting our offer. After careful consideration, we believe the economics demanded by Yahoo! do not make sense for us, and it is in the best interests of Microsoft stockholders, employees and other stakeholders to withdraw our proposal," said Ballmer.

Another key factor included Yahoo's recent outsourcing of advertising services to Google, which could introduce regulatory hurdles in pursuing an acquisition.



Maybe they should shut the company down and refund the shareholders monies. 5a

Why do you think they let buffoons manage and throw around billions of dollars?

This fits very well with a hard-line approach MSFT is playing against YHOO.

They don't accept? Drop the offer. Make them cry - call their bluff.



Imagine this scenario, which is more likely than Yahoo climbing to the moon in stock price and MSFT never being able to buy them again:



A month or three from now, Yahoo drops even more in value, say to $24 a share. That $33 takeover bid now looks a lot sweeter. Yahoo shareholders and maybe CEO Jerry Wang himself, will be kicking themselves for the loss of stock value.

MSFT comes back and says "We'll give you $28 a share". The shareholders would be in a panic at that point to get the extra $4 a share, esp. if they've been dropping 10% a month.


Now Microsoft pays $40 billion instead of $47.5 billion.


When you're throwing around tens of billions you can wait a couple months.

Microsoft has been named the most powerful global brand, beating out big non-tech names such as Coca-Cola, GE and Marlboro.

The software company tops a list of the top 100 most powerful brands carried out by brand consultancy Millward Brown Optimor.

The goal of the study was to calculate the value a brand is expected to generate for its owner in the future. The top brands were shown to contribute tens of billions to future earnings.

Though anti-Microsoft sentiment often runs high, the Millward Brown study showed most consumers hold positive feelings about the brand.

Andy Farr, executive director at Millward Brown Optimor and lead researcher on the study, said: "When you look at what customers and consumers say to us, they do hold Microsoft in high regard."

He added: "They don't love [Microsoft] like they love Google but they respect it."

Google came in seventh overall for global brands and second for the tech sector. It was also the leader for 'brand momentum', or a brand's earning power going forward, one of three criteria the researchers used to rank brands.

The other two were 'intangible earnings', which was based on financial data for a brand owner's business, such profits and operating costs; and 'brand contribution', which used survey data from 650,000 consumers on how brand affects their purchasing decisions.

One surprise on the list was China Mobile coming in fourth on the overall list. "I was not expecting that to make the top 10," said Farr.

But it made sense, he explained, once they factored in how quickly the Chinese mobile market is growing and how many Chinese consumers perceive it as an "aspirational brand".

IT companies had a good showing, holding four of the top 10 global brands and the number one spot in the UK (Vodafone). Meanwhile retailers such as Wal-Mart (number 6) and Tesco (30 overall and second in the UK) also figured prominently.

Given the impact brand can have on the bottom line, it's something businesses can't overlook, according to Millward Brown's Farr.

"If you're running a business, it's easy to focus on short-term efficiencies and it's easy to forget brand - which exists in the mind of the consumer - is important. It creates opportunities to enter new markets," he said.
